SIMPLO LTD - General Terms and Conditions

Definitions
  • The Client: the Purchaser, being the Commercial Remover’s contractual counterparty.
  • The Commercial Remover: Simplo Ltd: the contractor who performs commercial removals on a professional basis.
  • Commercial Removal : Any agreement to remove goods ordered by:
    1. a) a legal entity
    2. b) a (semi) government institution
    3. c) a national, international, or supranational institution.
  • The Subcontractor: any entrepreneur who undertakes assignments (packing, loading, road, rail, sea or air transport, storage, delivery) on behalf of the Commercial Remover.
  • Purchase Order / Signed Quotation: the removal agreement and complete enumeration of all agreements concluded between the Commercial Remover and the Client.
  • The Assignment: any combination of services including packing, unpacking, transport, (dis)assembly of goods.
  • The Goods: all movable items listed in the inventory of the commercial removal.
  • Working Days: all calendar days excluding Sundays and legal bank holidays.
Article 2 – Quotation, Agreement & Advance Payment
  • 2.1 The scope of the removal is estimated via pre-move survey, packing lists, or photos provided by the Client.
  • 2.2 A quotation is issued based on the findings.
  • 2.3 Deviations requested by the Client constitute a rejection of the quotation.
  • 2.4 Informational materials are only binding if confirmed in writing.
  • 2.5 The agreement is established once the quotation or purchase order is signed unmodified and returned within validity.
  • 2.6 Advance payments must be made as agreed. For removals abroad, full payment is due no later than one (1) week before the removal date.
  • 2.7–2.8 Without a signed quotation or purchase order, no obligation exists for either party.
Article 3 – Pricing, VAT, Assignments, Subcontractors
  • 3.1 Pricing is based on volume, distance, duration, and resources used.
  • 3.2 VAT is excluded unless stated otherwise.
  • 3.3 Particular assignments (packing, assembly, special items, inventories, server rooms, etc.) are charged separately.
  • 3.4 Pricing is based on information supplied by the Client.
  • 3.5 Overtime is charged per tariff unless caused by the Commercial Remover.
  • 3.6 Subcontractor tariffs apply based on execution-date exchange rates.
  • 3.7 Taxes related to international removals are charged separately.
  • 3.8 Packing and unpacking are invoiced separately unless agreed otherwise.
Article 4 – Price Adjustments
  • 4.1 Prices may change due to external factors (fuel, legislation, tariffs).
  • 4.2 Weight limits and air/sea freight calculations apply as defined.
Article 5 – Cancellation

Cancellation fees apply as follows:

  • 50% if cancelled 7–3 days before execution
  • 100% if cancelled less than 3 days before execution
Article 6 – Performance
  • 6.1 Subcontracting is permitted.
  • 6.2 Equipment is prepared at the depot.
  • 6.3 Simplo Ltd acts as a sound professional at all times.
Article 7 – Obligations of the Commercial Remover

Simplo Ltd shall receive, transport, deliver, load/unload, assemble, pack, and perform agreed services diligently and professionally.

Article 8 – Obligations of the Client

The Client is responsible for::

  • Customs documentation
  • Accurate information
  • Location plans
  • Accessibility
  • Presence during removal
  • Parking permits
  • Compliance with legal and safety regulations
Article 9 – Excluded Goods

Prohibited items include narcotics, weapons, valuables, hazardous goods, liquids, plants, and items restricted by destination law.

Article 10 – Packaging

Non-returned or damaged rented packaging is charged.

Article 11 – Suspension & Postponement

Postponements or modifications may result in additional costs or cancellation.

Article 12 – Dissolution

Simplo Ltd may dissolve the agreement in case of non-payment or insolvency.

Article 13 – Retention & Lien

Simplo Ltd has the right of retention and lien on goods until full payment is received.

Article 14 – Liability & Force Majeure

Liability applies only to damages caused by Simplo Ltd or its subcontractors, excluding force majeure events.

Article 15–18 – Claims & Limitations

Claims must be reported within defined timeframes. Liability is limited to €125/m3 with a €750 exemption.

Article 19 – Insurance

All-risk insurance is optional and subject to policy terms.

Article 20 – Storage

Storage services fall under these Terms.

Article 21 – Payment Conditions (United Kingdom)
  • 21.1 These payment conditions apply exclusively to corporate clients and legal entities established in the United Kingdom, unless otherwise agreed in writing.
  • 21.2 Invoices issued to companies in the United Kingdom are payable within fourteen (14) days from the invoice date, unless a different payment term has been expressly agreed in writing.
  • 21.3 In the event of late payment, Simplo Ltd reserves the right to charge statutory interest and reasonable administrative or recovery costs in accordance with applicable UK legislation.
  • 21.4 For private individuals (consumers), full pre-payment is required in all cases.

Services for private persons will only be scheduled and performed once full payment has been received, unless explicitly agreed otherwise in writing by Simplo Ltd.

Article 22 – Payment Conditions for Removals Abroad

Advance or full payments apply as stipulated. Delivery may be suspended for non-payment.

Article 23 – Language

The English version prevails over any translation.

Article 24 – Governing Law & Jurisdiction
  • 24.1 All agreements are governed exclusively by United Kingdom law.
  • 24.2 Disputes fall under the jurisdiction of the competent courts of the district where Simplo Ltd is registered.
